Terms of Service

Agreement

These Terms of Service govern your access to and use of Kvants Studio, Kvants websites, APIs, dashboards, strategy builders, backtesting tools, AI-assisted features, marketplace features, and related services. By accessing or using the services, you agree to these terms. If you do not agree, do not use the services.

If you use the services on behalf of an entity, you represent that you have authority to bind that entity. References to "you" include that entity and its authorized users.

What Kvants provides

Kvants provides software tools for research, strategy design, AI-assisted workflow automation, simulated backtesting, strategy documentation, and optional connectivity to third-party brokers, exchanges, wallets, payment providers, analytics providers, and model providers.

Unless a separate written agreement expressly says otherwise, Kvants is not a broker-dealer, investment adviser, commodity trading advisor, futures commission merchant, introducing broker, exchange, bank, custodian, legal adviser, tax adviser, or fiduciary. Kvants does not hold customer funds, custody assets, execute trades as principal, or guarantee fills, prices, profits, returns, or availability.

No investment, legal, or tax advice

The services, AI outputs, examples, templates, indicators, backtests, marketplace listings, educational materials, risk flags, and generated strategies are provided for informational and software workflow purposes only. They are not personalized investment, financial, legal, accounting, tax, or regulatory advice.

You are solely responsible for deciding whether any strategy, asset, order, broker, venue, model, workflow, vault, or integration is suitable for you. You should consult qualified professionals before making financial, legal, tax, or trading decisions.

Eligibility and account security

You must be at least 18 years old and legally able to enter these terms. You may not use the services if you are barred by applicable law, sanctions rules, exchange rules, broker rules, or other restrictions.

You are responsible for maintaining the confidentiality of your credentials, wallets, API keys, broker keys, devices, sessions, and any actions taken through your account. Notify us promptly at support@kvants.ai if you believe your account or keys have been compromised.

User content and AI outputs

You retain ownership of prompts, strategies, graphs, code, files, notes, credentials you submit, and other content you provide, subject to the rights needed for Kvants to operate, secure, improve, and support the services.

AI systems can produce incomplete, inaccurate, unsafe, stale, or non-compliant outputs. You are responsible for reviewing, testing, validating, and approving any AI output before relying on it or using it in live markets. Kvants has no duty to monitor, correct, or validate your strategies or outputs.

Trading, broker, exchange, and wallet integrations

If you connect third-party accounts, wallets, brokers, exchanges, model providers, or data providers, your use is also governed by their terms, disclosures, fees, limits, and availability. Kvants is not responsible for third-party outages, errors, custody decisions, liquidations, fees, slippage, rejected orders, incorrect balances, data issues, or security incidents outside Kvants systems.

Any live trading, paper trading, or automated action is initiated or authorized by you. You are responsible for permissions, key scopes, order review, position monitoring, risk controls, tax reporting, regulatory restrictions, and compliance with all applicable laws and venue rules.

Subscriptions, credits, tokens, and payments

Some services may require subscriptions, usage credits, payment confirmation, token-gated access, or third-party payment processing. Fees, billing periods, refunds, and feature access may change where permitted by law.

Any token, credit, points, or gated access feature is a product access or usage mechanism unless a separate written document expressly says otherwise. Nothing in the services is an offer to sell securities, commodities, derivatives, or investment contracts.

Acceptable use

You may not use the services to violate law, infringe rights, manipulate markets, commit fraud, evade sanctions, abuse broker or exchange rules, transmit malware, attack systems, scrape or resell the services, reverse engineer protected portions of the services, overload infrastructure, or interfere with other users.

You may not present Kvants outputs as guaranteed, regulated, audited, personalized, or endorsed unless we have expressly authorized that representation in writing.

Beta features and availability

Some features may be experimental, incomplete, rate-limited, or provided as beta, preview, or waitlist access. We may change, suspend, restrict, or discontinue any feature at any time, including to protect users, comply with law, address risk, or maintain service stability.

Disclaimers

To the maximum extent permitted by law, the services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, uninterrupted operation, and error-free operation.

Kvants does not warrant that any data, backtest, model, signal, strategy, order, risk control, integration, or AI output will be accurate, complete, profitable, compliant, or suitable for your circumstances.

Limitation of liability

To the maximum extent permitted by law, Kvants and its affiliates, officers, employees, contractors, suppliers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, lost profits, lost revenue, lost savings, lost data, trading losses, lost opportunities, business interruption, goodwill loss, or substitute services, even if advised of the possibility of those damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the services will not exceed the greater of the amount you paid to Kvants for the services giving rise to the claim during the three months before the event giving rise to liability or 100 US dollars.

Indemnity

You will defend, indemnify, and hold harmless Kvants and its affiliates, officers, employees, contractors, suppliers, and licensors from claims, damages, losses, liabilities, costs, and expenses arising from your content, your strategies, your live or simulated trading, your connected accounts, your breach of these terms, or your violation of law or third-party rights.

Disputes and changes

Where permitted by law, disputes will be resolved individually and not as a class or representative action. Either party may seek temporary or injunctive relief in court to protect intellectual property, confidential information, security, or service integrity.

We may update these terms from time to time. Material changes will be posted through the services or on this page. Continued use after changes become effective means you accept the updated terms.
